THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”
SOOCH CAPITAL DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
13. No Guarantee of Availability
Sooch Capital does not guarantee that the Services will be available at all times or without interruption. We may modify, suspend, or discontinue any portion of the Services at any time without notice or liability.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SOOCH CAPITAL SHALL NOT BE LIABLE FOR:
- INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
- LOSS OF PROFITS OR INVESTMENT LOSSES
- DATA LOSS OR BUSINESS INTERRUPTION
OUR TOTAL LIABILITY SHALL NOT EXCEED ONE HUNDRED DOLLARS ($100).
Yes — that cap is intentional and aggressive. Courts routinely uphold it.
15. Indemnification
You agree to indemnify and hold harmless Sooch Capital and its affiliates, managers, members, officers, and agents from any claims, losses, or expenses arising out of:

16. Arbitration and Dispute Resolution
Any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall be resolved exclusively through binding arbitration administered by the American Arbitration Association (“AAA”) in accordance with its Commercial Arbitration Rules.
The arbitration shall be conducted in New York, New York, unless the parties agree otherwise. Judgment on the arbitration award may be entered in any court having jurisdiction.
YOU AND SOOCH CAPITAL AGREE TO WAIVE ANY RIGHT TO A JURY TRIAL AND ANY RIGHT TO PARTICIPATE IN A CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION.
Notwithstanding the foregoing, either party may seek injunctive or equitable relief in a court of competent jurisdiction to prevent actual or threatened infringement, misappropriation, or violation of intellectual property or confidentiality rights.
17. Governing Law and Venue
These Terms shall be governed by the laws of the State of New York, without regard to conflict-of-law principles.
Where arbitration is not permitted, exclusive venue shall be state or federal courts located in New York.
18. Electronic Communications
By using the Services, you consent to receive electronic communications from Sooch Capital, including notices, disclosures, and updates.
19. Termination
We may suspend or terminate access to the Services at any time, with or without notice, for any reason.
20. Modifications
We may update these Terms at any time.
Continued use of the Services constitutes acceptance of the revised Terms.
21. Severability
If any provision of these Terms is held unenforceable, the remaining provisions shall remain in full force and effect.
